Vendor Onboarding Registration Form

The Vendor agrees to supply the following products/services to Orozone.in:

• List specific products/services

• Term: This Agreement is valid from [Start Date] and shall remain in effect unless terminated by either party.
• Termination Clause: Either party may terminate this Agreement with [30] days written notice.

By signing this registration form, the Vendor agrees that Orozone.in will charge a 10% commission on the final sale value (exclusive of taxes and shipping charges) of all products/services sold through the platform. This commission will be deducted from the Vendor’s payout for each completed transaction.

• The commission rate is subject to periodic review and may be revised with prior written notice to the Vendor.
• The Vendor will receive detailed statements outlining all transactions, commission deductions, and payouts.

By submitting this form, the Vendor acknowledges and accepts the commission structure as part of the terms of service with Orozone.in.

• Ensure the quality and authenticity of products/services.
• Maintain inventory as per agreed-upon terms.
• Provide accurate product descriptions and pricing
• Fulfill orders promptly and in compliance with shipping and packaging standards.

Warranty and After-Sales Obligations

1. Warranty Period:

   The Vendor agrees to provide a one-year warranty on all machines listed and sold through Orozone.in, effective from the date of delivery to the customer.

2. Repair and Replacement Obligations:
   • The Vendor shall be solely responsible for addressing and resolving any repair complaints or replacement requests raised during the warranty period.
   • Repair or replacements must be provided to the customer without additional charges, including costs for parts, labor, or shipping, unless explicitly agreed upon otherwise in writing.
3. Customer Support:

   The Vendor must ensure timely resolution of warranty claims and maintain a robust customer service process to handle such complaints. Orozone.in may facilitate communication between the Vendor and the customer but will not bear responsibility for warranty obligations.

4. Exclusions:

   The Vendor shall define and communicate warranty exclusions, if any, to Orozone.in at the time of product listing. Such exclusions must be clearly stated in the product description visible to customers.

5. Indemnification:

   The Vendor indemnifies Orozone.in against any claims, liabilities, or disputes arising from warranty issues, including but not limited to product defects, delays in repair/replacement, or customer dissatisfaction.

• Payment will be made within [30] days from the date of delivery or invoice, whichever is later.
• Vendor must submit invoices with proper documentation, including GST or other applicable taxes.

• The Vendor is responsible for setting the price of products listed on Orozone.in.
• All prices must include applicable taxes unless otherwise specified.

The Vendor agrees to indemnify and hold Orozone.in harmless from any claims, liabilities, or losses arising out of:

• Product defects or inaccuracies.
• Breach of warranties or representations.

Both parties agree to keep all proprietary and sensitive information confidential and not disclose it to third parties.

Any disputes arising under this Agreement shall first be resolved amicably. If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.

This Agreement shall be governed by the laws of India.
